Iranian Cultural Heritage and Tourism Organization
The Council of Ministers during its session held in 2005/7/3 (84/4/12), at the proposal No. 832/1-24245 dated 2005/3/9 (83/12/19) of the Iranian Cultural Heritage and Tourism Organization and in compliance with Article 144 of the 4th Plan of Economic, Social and Cultural Development of Islamic Republic of Iran- ratified in 2004- the Council of Ministers approved the Statutes of the Revival and Utilization Fund for Historic-Cultural Places and Buildings as follows:
“Statute of the Fund for Revival and Utilization of the Cultural and Historic Buildings and Places”
Chapter One- General Information:
Article 1: “The Fund for Revival and Utilization of the Cultural and Historic Buildings and Places” hereinafter referred to as “the Fund”, is a non-profitable institution under the affiliation of the Iranian Cultural Heritage and Tourism Organization.
Article 2: The Fund’s headquarter is located in Tehran. In case required, the Fund can establish offices in other provinces, with the permission of the Management and Planning Organization.
Article 3: The Fund’s total asset is two hundred billion Rialssupplied from the Fund’s resources.
Article4: The Fund’s responsibilities and authorities are set out as bellow:
To encourage, guide and support investors’ legal activities.
To define and grant land-use permits for utilization of historic and cultural places in compliance with relevant rules and regulations.
To support individuals and entities involved in Revival of historic and cultural places and buildings in order to develop technical capacities in this field.
To provide supportive facilities to beneficiaries.
To do other activities pertinent to development and strengthening of Revival and utilization of historic places in compliance with relevant rules and regulations.
Chapter Two- Constituent bodies:
Article 5: The Fund’s constituent bodies are:
Board of Trustees
Board of Directors
Article 6: The board of trustees is the supreme authority of decision and policy making. Its members are:
The President of the Iranian Cultural Heritage and Tourism Organization. (Chairman of the board of trustees).
The Minister of Economic Affairs and Finance or his representative.
The Minister of Housing and Urban Development or his representative.
The President of the Management and Planning Organization of Iran.
Three professional experts in the field of restoration and Revival of historic places and economic affairs, introduced by the President of the Iranian Cultural Heritage and Tourism Organization whose assignments must be approved by the Supreme Council of Cultural Heritage and Tourism.
Article 7: The scope of responsibilities and authorities of the Board of Trustees are as follows:
To define the Fund’s general and executive policies.
To decide on receiving facilities from banks, internal and external credit institutions in compliance with relevant rules and regulations.
To approve the internal rules of procedure of the Board of Trustees.
To investigate, comment and decide on financial statements.
To investigate and adapt programs and budgets recommended by the board of Directors.
To investigate the financial, trade and administrative rules of procedure and submitting them to competent authorities.
To investigate and adapt the Fund’s administration in collaboration with Management and Planning Organization.
To determine salaries, benefits and bonuses of the Members of the board of Directors in compliance with rules and regulations.
To decide on changes or amendments on the Statute and recommending them to competent authorities.
To approve resolving and reconciliation and refer cases to arbitration in compliance with the Article 139 of the Constitution of the Islamic Republic of Iran.
Article 8: The members of the board of directors are of 5 individuals of which three are bound to undertake responsibilities.
Note: The members of board of directors are elected by the board of trustees for a period of four years and they can be reelected.
Article 9: The responsibilities and authorities of board of directors are set as below:
To recommend on the general and executive policies to the board of trustees.
To implement the approvals of the board of trustees.
To prepare and recommend on annual programs and budget to the board of trustees.
To decide on investment and cooperation with individuals and legal entities in compliance with the relevant rules and regulations.
To decide on establishing affiliate institutions and firms in order to achieve the Fund’s objectives
To decide on purchasing, selling or transferring immovable properties in compliance with relevant rules and regulations.
To prepare the financial, trade and administrative rules of procedure and recommend them to the board of trustees.
To recommend on changes or amendments on the Statutes to the board of trustees.
To supervise and manage the good performance of the Fund.
To assign a representative/representatives to participate in assemblies and meetings of the affiliate firms.
To investigate and decide on the Fund’s affairs in the framework of the Statute and relevant rules and regulations.
Article 10: The managing director and the chairman of the board of directors is the highest authorities in executive and administrative affairs of the Fund. They are elected among board of directors for a period of four years and responsible for the good performance, undertaken affairs and conservation of the rights, benefits and properties of the Fund.
Note: The managing director and the chairman of board of directors is assigned by the approval of the board of trustees with the decree of the President of the Iranian Cultural Heritage and Tourism Organization.
Article 11: The responsibilities and authorities of the managing director and the chairman of the board of directors
To undertake all trades, contracts and receive facilities and cooperate with individuals and legal entities after the approval of board of directors.
To act as the representative of the Fund interacting with individuals and legal entities, governmental and non-governmental, administrative and judicial authorities with the right of substitution and referring cases to expertise.
Chapter Three- other regulations:
Article 12: The financial resources of the Fund are set as below:
Contributions received from the Government and the Iranian Cultural Heritage and Tourism Organization, in case forecasted in the annual budget regulations.
Investments by individuals and legal entities (national and foreign).
Interests of the Fund’s activities and other firms and affiliate institutions.
Article 13: All correspondence and binding documents of the fund get accredited by the endorsement of the managing director and the chairman of the board of directors and one of the members of the board of directors elected by the board of directors.
The Guardian Council of Islamic Republic of Iran has ratified this Statute according to letter NO. 84/30/12877 in 2005/8/6 (84/5/15) and letter NO. 84/30/13245 in 2005/9/15 (84/6/24).
